Terms of Service

These Terms of Service (“Terms”) govern your access to and use of our Innovation Services, including strategy development, concept creation, R&D support, workshops, product innovation, and all related advisory and creative solutions (“Services”).

By accessing or using our Innovation Services, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Scope of Innovation Services

Our Innovation Services include, but are not limited to:

  • Innovation Strategy & Roadmapping

  • Business Innovation Consulting

  • Product & Service Innovation

  • Prototyping & MVP Development

  • Research & Development (R&D) Support

  • Ideation & Creative Workshops

  • Trend & Market Forecasting

  • Concept Design & Testing

  • Innovation Acceleration Programs

  • Process & Workflow Innovation

  • Design Thinking Facilitation

  • Experimentation, Pilots & Innovation Sprints

Service details, deliverables, and expectations will be defined in the project proposal, contract, or statement of work (SOW) for each engagement.

2. Client Responsibilities

You agree to:

  • Provide accurate business information necessary for research, strategy, concept creation, or prototyping.

  • Participate in workshops, feedback sessions, and innovation exercises as required.

  • Supply relevant data, documentation, tools, or system access that may influence strategic insights or innovation outcomes.

  • Ensure you have the rights and permissions to share any materials used during collaboration.

  • Use all innovations, concepts, tools, and deliverables in a lawful and compliant manner.

Delays in communication or information sharing may impact project timelines and results.

3. Innovation Process & Deliverables

  • The innovation process typically includes discovery, ideation, concept development, prototype creation (if applicable), and refinement.

  • Deliverables may include reports, concept boards, prototypes, strategic frameworks, innovation maps, product ideas, recommendations, tests, and workshops.

  • Revisions beyond the agreed scope may incur additional costs.

  • Innovation outcomes are exploratory in nature and may not guarantee market acceptance, performance, or commercial success.

4. Intellectual Property & Ownership

Client Materials

You retain ownership of any assets, data, documents, or content you provide.

Innovation Deliverables

Ownership rights for ideas, frameworks, prototypes, and innovation materials will be documented in your project agreement.

In general:

  • Custom deliverables created exclusively for your project may be transferred to you.

  • Pre-existing tools, methodologies, research frameworks, innovation models, and internal processes remain property of Constant Service.

  • Innovations developed collaboratively may include both proprietary and client-owned components.

You may not resell, replicate, or distribute any proprietary frameworks or tools without written consent.

5. Research, Data & Market Insights

To deliver strong innovation outcomes, we may gather:

  • Market data

  • Industry trends

  • User research

  • Competitive analysis

  • Behavioral insights

  • Technological landscape assessments

We do not guarantee the accuracy of third-party data sources or future predictions. All insights are recommendations based on available information, research methods, and industry expertise.

6. Confidentiality

Both parties agree to maintain the confidentiality of:

  • Strategies

  • Concepts and prototypes

  • Workshop content

  • Business data

  • Internal research

  • Any undisclosed innovation materials

Confidential information may only be shared with authorized personnel or contractors necessary for project execution.

7. Third-Party Tools & Collaboration

Innovation projects may involve third-party software, research platforms, or prototype tools.

  • We are not responsible for limitations, outages, or policies of third-party providers.

  • Additional licensing or subscription fees will be communicated if required.

8. Payment Terms

  • Payment terms, schedules, and costs will be outlined in your contract or invoice.

  • Deposits may be required before work begins.

  • Late payments may cause delays, suspension of services, or additional fees.

Innovation services (research, strategy, consulting) are generally non-refundable due to their intellectual and time-based nature.

9. Limitations of Liability

To the fullest extent permitted by law:

  • We do not guarantee commercial success, financial outcomes, or market adoption of any innovation, concept, prototype, or strategy.

  • We are not liable for business decisions made based on innovation insights or recommendations.

  • Our liability will not exceed the amount paid for the specific service in question.

Innovation is exploratory by nature — results may vary.

10. Termination

Either party may terminate the agreement with written notice according to the project contract.

Termination may occur if:

  • Terms are violated

  • Payments are not fulfilled

  • Misuse of confidential materials occurs

  • Unauthorized distribution or replication of innovation frameworks is detected

Upon termination:

  • Work delivered up to the date of termination will be invoiced.

  • Proprietary frameworks or materials must be returned or deleted unless otherwise permitted.

11. Updates to These Terms

We may revise these Terms from time to time. Updates are effective when posted. Continued use of our Innovation Services means you accept the new Terms.
